Marvell to buy Lumentum in $115 billion deal in AI data-center bet
Summary
Marvell Technology plans to acquire Lumentum in a massive transaction valued at $115 billion. This major acquisition highlights Marvell's strategic expansion within the artificial intelligence data-center sector.
Our Take
The headline says $115 billion, but the math has already moved. The fixed 4.5-for-1 exchange ratio was priced off Marvell's Oct. 28 close near $251.65, which is where the $1,132-per-share figure comes from. With MRVL trading around $195 in premarket, that same ratio is worth roughly $878 per Lumentum share today, and LITE is sitting near $835, a gap of about 5%. That spread is the market pricing a long timeline and regulatory risk: closing isn't expected until the first half of 2028, and Nvidia, a $2 billion Lumentum shareholder, would see a key optics supplier owned by a custom-silicon rival. Marvell holders give up about a third of the combined company in exchange for owning the lasers inside AI clusters, plus a promised $1 billion-plus in annual cost synergies. For traders, we'd watch whether MRVL can reclaim Friday's $196.40 close after the open; losing the $190 premarket low would signal the market still isn't buying the deal. Coherent (COHR), indicated up about 3.5% premarket, is the read-across as the last big independent optics name.
